These Terms of Service ("Terms") govern your use of the Noir Envelope website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you should not use our Services.

1. About Noir Envelope

Noir Envelope provides online photo printing services. Customers upload digital images, which are processed through automated production systems that may include artificial intelligence (AI) to enhance image quality, optimize files for printing, produce prints, and prepare orders for fulfillment.

2. Eligibility

By placing an order, you confirm that:

• You are at least the age of majority in your jurisdiction or have permission from a parent or legal guardian.
• The information you provide is accurate and complete.
• You have the legal authority to enter into this agreement.

3. Customer Responsibilities

You are solely responsible for:

• The photos, images, text, or other content you upload.
• Ensuring your uploaded files are correct before placing an order.
• Providing accurate shipping and billing information.
• Reviewing your order before completing checkout.

Once production begins, changes or cancellations may not be possible.

4. Ownership of Your Content

You retain ownership of the images and content you upload.

By submitting content to Noir Envelope, you grant us a limited, non-exclusive, royalty-free license to store, process, reproduce, modify (including automated image enhancement), print, package, and otherwise use your content solely as necessary to provide the Services you requested.

This license ends once your content is deleted in accordance with our Privacy Policy, except where retention is required by law.

5. Intellectual Property

You represent and warrant that:

• You own the rights to the content you upload, or
• You have obtained all necessary permissions to reproduce and print the content.

You agree not to upload content that:

• Infringes copyrights, trademarks, or other intellectual property rights.
• Violates any law.
• Contains unlawful, defamatory, abusive, or fraudulent material.

You agree to indemnify and hold Noir Envelope harmless from claims arising from content you submit.

6. Automated Processing

Our production workflow uses automated technologies, including AI, to improve image quality, optimize files for printing, manage production, and fulfill orders.

AI enhancement is intended to improve print quality but cannot guarantee perfect results. Final print quality depends largely on the quality of the files you provide.

7. Image Quality

You acknowledge that:

• Printed colors may differ slightly from what appears on your monitor or mobile device.
• Cropping may occur depending on print size and aspect ratio.
• AI enhancement cannot fully restore severely blurry, damaged, or low-resolution images.
• Minor variations in color, brightness, sharpness, trimming, and print positioning are normal and do not constitute defects.

8. Orders

We reserve the right to:

• Refuse or cancel any order.
• Limit quantities.
• Cancel orders suspected of fraud or unauthorized activity.
• Correct pricing, product descriptions, or technical errors.

If payment has already been collected for a cancelled order, an appropriate refund will be issued.

9. Pricing and Payments

All prices are displayed in the applicable currency at checkout.

You authorize us to charge your selected payment method for all purchases, taxes, shipping fees, and other applicable charges.

10. Shipping

Estimated delivery times are estimates only.

Noir Envelope is not responsible for delays caused by:

• Shipping carriers.
• Customs processing.
• Weather events.
• Postal disruptions.
• Incorrect addresses supplied by customers.
• Events outside our reasonable control.

Risk of loss generally transfers to you once the order has been delivered to the shipping carrier, except where applicable law provides otherwise.

11. Returns and Refunds

Returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

Because our products are personalized, most orders cannot be returned unless they arrive damaged, defective, or incorrect.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Noir Envelope, its owners, employees, contractors, suppliers, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Lost profits.
• Lost business opportunities.
• Loss of data.
• Emotional distress.
• Loss of goodwill.
• Business interruption.

Our total liability arising out of or relating to any order or use of the Services shall not exceed the amount you paid for the specific order giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

13. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Noir Envelope disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Continuous availability.
• Error-free operation.

We do not guarantee uninterrupted access to the Services or that the Services will always be free from errors or technical issues.

14. Indemnification

You agree to defend, indemnify, and hold harmless Noir Envelope and its owners, employees, contractors, affiliates, and service providers from any claims, damages, liabilities, costs, expenses, or legal fees arising from:

• Your breach of these Terms.
• Your misuse of the Services.
• Content you upload.
• Your violation of any law or third-party rights.

15. Force Majeure

Noir Envelope shall not be liable for delays or failure to perform resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, equipment failures, supplier shortages, pandemics, government actions, or disruptions affecting shipping carriers.

16. Suspension or Termination

We may suspend or terminate access to the Services at any time if we reasonably believe you have violated these Terms or applicable laws.

17. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where Noir Envelope operates, without regard to conflict of law principles.

Any disputes shall be brought before the courts that have jurisdiction under those applicable laws unless otherwise required by consumer protection legislation.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted on our website. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
